These Terms and Conditions ("Terms") govern your access to and use of Xecutify, including the Xecutify application, website, subscriptions, account systems, support channels, referral program, events, promotional campaigns, and any related features, content, or services (collectively, the "Services"). By creating an account, purchasing a subscription, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1. About Xecutify
Xecutify operates as a hybrid Software-as-a-Service ("SaaS") and on-premise desktop application. Xecutify provides online account management, subscription billing, licensing, support, and security infrastructure through its website and servers. The core automation features, workflow execution, screen mapping, Smart Data Entry, Xecutify Browser workflows, and related automation operations run locally on the user's device through the Xecutify desktop application.
Xecutify does not receive, store, or view the user's workflow data, screen mappings, browser session contents, extracted data, spreadsheet contents, or data entered through automations. These operations run locally on the user's device. Xecutify servers process only the data required for account authentication, subscription management, licensing, abuse prevention, fraud prevention, support, diagnostics, and security.
For the purposes of these Terms, "Xecutify," "we," "us," and "our" refer to the individual owner and operator of the Services.
2. Eligibility
You may use the Services only if you are legally capable of entering into a binding agreement under applicable law.
By using the Services, you represent and warrant that:
- all information you provide is accurate, complete, and up to date;
- you are legally authorized to use the payment method you provide;
- your use of the Services complies with these Terms and all applicable laws.
3. User Accounts
3.1 Account Creation
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information and to keep such information updated.
3.2 Account Responsibility
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify Xecutify immediately if you know or reasonably suspect that your account has been compromised, accessed without authorization, or otherwise misused.
3.3 Restricted Account Creation
You may not create an account using false, misleading, or unauthorized information. You may not create a new account if your previous account was suspended, terminated, or restricted, unless Xecutify expressly permits it.
3.4 Anti-Abuse Account Controls
Xecutify reserves the right to apply account creation and usage controls for anti-abuse, fraud prevention, security, and enforcement purposes.
These controls may include review or restriction based on technical and account-related indicators such as:
- IP address;
- email address;
- device-related identifiers, including irreversible cryptographic hashes of hardware components, device fingerprints, or hashed hardware IDs used for licensing, anti-abuse, and fraud-prevention purposes;
- network behavior;
- other security or anti-abuse signals.
Any attempt to evade account restrictions, including by using VPNs, proxies, manipulated identifiers, duplicate accounts, or similar methods, may result in suspension or permanent deletion of the account, whether the account is Free or on a paid plan.
4. Subscription Plans
4.1 Free and Paid Access
Xecutify may offer a Free plan and one or more paid subscription plans, including Pro, Founder, or other paid plans where available.
The Free plan may include restricted features, limited usage, reduced access, or other limitations as described in the Services. Paid plans provide access to the features and benefits presented for the selected plan at the time of purchase.
Xecutify reserves the right to modify features, limits, plan structure, or pricing at any time in accordance with Section 16 of these Terms.
4.2 Paid Subscriptions
Certain Services are available only through a paid subscription. By purchasing a subscription, you agree to pay all applicable fees and taxes associated with the selected plan.
Failure to pay any applicable fee may result in suspension or termination of access to paid Services.
4.3 Automatic Renewal
All paid subscriptions renew automatically according to the billing interval shown at checkout, unless canceled before renewal.
By purchasing a subscription, you authorize recurring charges to your selected payment method for each renewal period. Billing may be processed before the current subscription term expires in order to prevent interruption of access.
4.4 Cancellation
You may cancel your subscription at any time. Cancellation prevents future renewals only.
If you cancel your subscription, your access to the paid Services will remain active until the end of the billing period already paid for. Cancellation does not immediately terminate access to the current subscription term.
4.5 Strict No-Refund Policy
All payments are final and
non-refundable.
To the fullest extent permitted by applicable law, Xecutify does not provide refunds, partial refunds, prorated refunds, reimbursements, or credits for:
- canceled subscriptions;
- unused subscription time;
- unused features;
- accidental purchases;
- failure to cancel before renewal;
- dissatisfaction after purchase;
- partially used billing periods.
Because Xecutify provides a digital subscription and desktop license and access is made available immediately after payment, you expressly acknowledge and agree that no refunds will be issued once payment has been successfully processed, except where such refund is strictly required by mandatory applicable law.
For EU consumers, by purchasing a subscription and requesting or activating immediate access to the Xecutify digital subscription, account features, and desktop license, you expressly consent to the immediate performance of the contract and acknowledge that you may lose your statutory 14-day right of withdrawal once digital access or performance has begun, where permitted by applicable law. Nothing in these Terms limits mandatory consumer rights that cannot lawfully be waived.
4.6 Payment Disputes and Chargebacks
If you believe you were charged incorrectly, you agree to contact Xecutify first and allow a reasonable opportunity to review and respond before initiating a chargeback or payment dispute.
Any false, abusive, or bad-faith chargeback may result in suspension, termination, or permanent restriction of your account and access to the Services.
4.7 Points, Reward Tokens, Smart Tokens, Extra Steps, and Virtual Balances
Xecutify may offer Points, Reward Tokens, Smart Tokens, Extra Steps, credits, balances, rewards, usage allowances, or similar digital entitlements that can be used only inside Xecutify for eligible features, rewards, usage allowances, promotional benefits, or Points Store items.
Points may be purchased with money and may also be obtained by converting Reward Tokens according to the conversion rules shown in the Services. Points can be used in the Points Store to purchase eligible internal benefits, including Smart Tokens, Extra Steps, rewards, or other items made available by Xecutify.
Reward Tokens are activity-based or promotional rewards. Reward Tokens may be earned through eligible product usage, including the current rule of 10 Reward Tokens per 1,000 executed steps, and may also be granted through giveaways, events, promotions, campaigns, or manual rewards. Reward Tokens may be earned by users regardless of whether they are on the Free, Pro, Founder, or another plan, unless stated otherwise in the Services. Reward Tokens are not purchased directly with money and may be converted into Points according to the conversion rules shown in the Services.
Smart Tokens may be purchased with Points through the Points Store and are used strictly for eligible Smart Data Entry operations. Smart Tokens are plan allowances only and do not represent, contain, or disclose the content processed through Smart Data Entry.
Free users may be able to purchase Extra Steps with Points through the Points Store when they run out of available steps. The current rule is 1,000 Extra Steps for 50 Points, unless changed or replaced in the Services.
Points, Reward Tokens, Smart Tokens, Extra Steps, and similar balances are internal Xecutify digital entitlements only. They are not money, electronic money, stored value, cryptocurrency, gift cards, securities, financial instruments, or legal tender. They have no cash value, are not redeemable for cash, are not withdrawable, are not refundable except where required by mandatory law, and are not transferable unless Xecutify expressly permits it.
Xecutify may grant, deduct, expire, reset, revoke, correct, suspend, or refuse Points, Reward Tokens, Smart Tokens, Extra Steps, or similar balances where reasonably necessary for technical correction, abuse prevention, fraud prevention, billing correction, chargeback handling, promotion enforcement, account enforcement, or compliance with these Terms.
Free, promotional, monthly, bonus, reward-based, or included balances may expire, reset, fail to carry over, or be limited according to the rules shown in the Services. Account suspension, account termination, abuse, fraud, chargeback, refund, downgrade, subscription expiration, or breach of these Terms may result in loss of access to unused balances where permitted by applicable law.
5. Referral Program
Xecutify may offer a referral program subject to the conditions below.
If User A refers User B, and User B purchases:
- a subscription of at least one month, both User A and User B may receive 15 days of free Pro access;
- a subscription of one year, both User A and User B may receive 30 days of free Pro access.
Referral rewards are subject to all of the following conditions:
- User B must be a genuine new user;
- User B must submit a referral ticket;
- the referral must be manually reviewed and validated by Xecutify;
- no reward applies unless and until validation has been completed.
If no referral ticket is submitted, no referral reward will apply.
Referral rewards are not automatic and may be denied, canceled, or reversed in cases of fraud, abuse, self-referral, duplicate accounts, manipulated purchases, or any attempt to exploit the referral system.
6. Promotions, Events, Giveaways, and Special Offers
Xecutify may, from time to time, offer promotional campaigns, giveaways, events, contests, discount offers, referral bonuses, limited-time rewards, or similar activities ("Promotions").
Unless expressly stated otherwise by Xecutify in writing, all Promotions are:
- optional;
- limited in time and availability;
- subject to these Terms and any additional event-specific rules published by Xecutify;
- void where prohibited by applicable law.
Xecutify reserves the right, at its sole discretion, to:
- modify, suspend, cancel, extend, or terminate any Promotion at any time;
- define or revise eligibility requirements;
- review and validate participation manually;
- refuse, withhold, revoke, or cancel any reward, prize, bonus, or benefit where there is reasonable suspicion of fraud, abuse, manipulation, ineligibility, duplicate participation, breach of these Terms, payment irregularity, chargeback risk, technical error, or other conduct that compromises the fairness or integrity of the Promotion.
Participation in any Promotion does not guarantee receipt of any prize, reward, or benefit unless and until all applicable conditions have been satisfied and Xecutify has confirmed eligibility.
Unless expressly stated otherwise, prizes, rewards, bonuses, discounts, and promotional benefits:
- are non-transferable;
- are not redeemable for cash;
- may not be exchanged or substituted;
- may be canceled if issued in error.
Where a Promotion includes a giveaway, contest, random draw, or limited reward event, Xecutify reserves the right to disqualify any participant or withhold any prize if something is not in order, including but not limited to:
- inaccurate or incomplete participant information;
- breach of these Terms or event-specific rules;
- duplicate, inauthentic, or abusive accounts;
- suspicious activity;
- suspected fraud or manipulation;
- payment disputes or chargebacks;
- legal or regulatory concerns;
- technical or administrative errors affecting the Promotion.
In the event of any dispute regarding a Promotion, eligibility, prize, or reward, Xecutify's decision shall be final to the fullest extent permitted by applicable law.
7. Support Policy
7.1 Paid Users
Users with an active paid subscription, including Pro or Founder where available, may access ticket-based support for incidents, account-related issues, and Service-related problems.
Ticket handling and initial response times are generally estimated at 48 to 72 hours, depending on workload, ticket volume, availability, and issue complexity. These timeframes are estimates only and do not constitute a guaranteed service-level commitment.
7.2 Free Users
Users on the Free plan do not receive guaranteed ticket-based support. Free users may be directed to community-based support resources, including Discord or other public community channels designated by Xecutify.
8. Acceptable Use
You may not use the Services to:
- violate any law or regulation;
- abuse, interfere with, disrupt, overload, or damage the Services;
- bypass subscription restrictions, plan limits, or account limitations;
- create duplicate, misleading, fraudulent, or unauthorized accounts;
- evade anti-abuse controls through VPNs, proxies, or technical workarounds;
- attempt unauthorized access to accounts, systems, administrative features, or other users' data;
- reverse engineer, exploit, probe, attack, test the security of, or misuse the Services, except where expressly authorized in writing by Xecutify;
- use the Services for unlawful, deceptive, abusive, or harmful purposes.
Violation of this Section may result in immediate suspension or termination of access without refund.
8.1 Smart Data Entry and Xecutify Browser
Smart Data Entry is designed to operate locally on the user's device. The feature may read user-selected Excel, CSV, or supported template files, analyze visible page or application fields, assist with field mapping, extract visible information, populate forms, and write results into a user-selected local output file.
Xecutify does not receive, store, or view the contents of the files selected by the user, the contents of browser sessions, the extracted data, the completed output files, login credentials used in workflows, or data entered into third-party websites or applications through Smart Data Entry.
Xecutify servers may process limited usage metadata required to provide, license, meter, secure, and prevent abuse of Smart Data Entry, such as account identifiers, subscription status, feature access status, operation timestamps, usage counters, Smart Token consumption, error categories, diagnostic status, and anti-abuse signals. Such metadata is not intended to include the user's extracted content, spreadsheet contents, browser session contents, workflow input/output data, or third-party credentials.
Users are solely responsible for ensuring that they have the legal right, authorization, and permission to access, extract, process, enter, import, export, or otherwise use any data handled through Smart Data Entry. Users must review detected mappings, generated outputs, form submissions, and completed files before relying on them. Xecutify does not guarantee that Smart Data Entry will correctly detect every field, extract every value, avoid duplicates, prevent formatting errors, or remain compatible with every website, application, document, layout, or third-party system.
9. Data Protection and Security
Xecutify may collect and process certain account, technical, and security-related information necessary to provide the Services, prevent abuse, and deliver support. This may include:
- email address;
- IP address;
- device-related identifiers, including irreversible cryptographic hashes of hardware components, device fingerprints, or hashed hardware IDs used for licensing, anti-abuse, and fraud-prevention purposes;
- account information;
- support ticket content;
- operational and security logs.
This information may be used for:
- account administration;
- authentication and access control;
- abuse prevention;
- fraud detection;
- technical troubleshooting;
- support handling;
- subscription administration;
- legal compliance.
Xecutify does not sell user email addresses or personal data to third parties.
Access to personal data is restricted and protected by reasonable technical and organizational measures, including restricted administrative access and layered internal access controls.
Xecutify reserves the right to access relevant account or security information where reasonably necessary for support, abuse investigation, account recovery, fraud prevention, or compliance with applicable legal obligations.
10. Account Recovery and Verification
If you contact Xecutify regarding password issues, account recovery, or access problems, Xecutify may require verification of account ownership before taking action.
Xecutify may refuse to reset credentials, disclose account-related information, or make account changes unless sufficient verification has been completed.
11. Service Availability and Downtime
Xecutify will use reasonable efforts to keep the Services available and operational. However, uninterrupted availability is not guaranteed.
The Services may become unavailable from time to time due to maintenance, upgrades, technical issues, infrastructure problems, hosting failures, security incidents, abuse mitigation measures, or third-party service outages.
If a significant interruption occurs, Xecutify may, at its sole discretion, offer compensation only in the form of additional Pro subscription time.
Any such compensation:
- is optional and discretionary;
- is not automatic;
- is not monetary;
- is not a refund;
- does not create an obligation to offer compensation in future cases.
12. Intellectual Property
All rights, title, and interest in and to the Services, including the software, interface, branding, design, text, graphics, logos, layout, features, and related materials, remain the exclusive property of Xecutify and/or its licensors.
Except for the limited right to use the Services in accordance with these Terms, no right, license, or ownership interest is granted to you.
You may not copy, reproduce, distribute, resell, modify, reverse engineer, create derivative works from, or otherwise exploit the Services except as expressly permitted in writing by Xecutify or required by mandatory law.
13. Suspension and Termination
Xecutify may suspend, restrict, disable, or terminate your account or access to the Services at any time, with or without prior notice, if:
- you violate these Terms;
- you abuse the Services;
- you engage in fraudulent, deceptive, or harmful conduct;
- you attempt to evade technical or account restrictions;
- your account creates legal, operational, or security risk.
If your account is terminated for breach of these Terms, you may be prohibited from creating a new account.
Suspension or termination does not entitle you to any refund.
14. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law, Xecutify disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, and security.
Xecutify does not warrant that:
- the Services will always be available;
- the Services will be uninterrupted or error-free;
- defects will always be corrected;
- the Services will meet every expectation or requirement of every user.
15. Limitation of Liability
To the fullest extent permitted by law, Xecutify shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or related to your use of or inability to use the Services.
Xecutify is not responsible for damages, data corruption, system crashes, financial losses, account restrictions, incorrect submissions, unwanted actions, or other consequences resulting from workflows, automation loops, screen mappings, scripts, browser actions, form submissions, or configurations created, approved, or executed by the user on their own device or third-party systems.
To the maximum extent permitted by law, Xecutify's total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount paid by you to Xecutify during the six (6) months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
16. Legal Disclosure, Governing Law, and Jurisdiction
16.1 Legal Disclosure
Xecutify may disclose account information, personal data, or other relevant information where required to do so by applicable law, court order, subpoena, valid legal process, or request from a competent public authority, or where such disclosure is reasonably necessary to establish, exercise, or defend legal claims, protect the security or integrity of the Services, or prevent fraud, abuse, or unlawful activity.
16.2 Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Romania, without regard to conflict of law principles.
16.3 Jurisdiction
Any dispute arising out of or relating to these Terms or the Services shall be subject to the jurisdiction of the competent courts of Romania, unless mandatory applicable law provides otherwise.
17. Changes to These Terms
Xecutify reserves the right to modify or update these Terms at any time.
If material changes are made, Xecutify will make reasonable efforts to notify users, including through email, website notice, in-app notice, or other appropriate means.
Your continued access to or use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
18. Miscellaneous
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Xecutify to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other right.
These Terms constitute the entire agreement between you and Xecutify regarding the Services and supersede any prior or contemporaneous understandings relating to the same subject matter.

Xecutify does not store full payment card details where those details are handled by the payment processor.
3.7 Local Automation and Smart Data Entry Content
Xecutify uses a zero-knowledge-style local processing model for automation content. Xecutify does not receive, store, or view the user's workflow data, screen mappings, browser session contents, extracted data, spreadsheet contents, or data entered through automations. These operations run locally on the user's device.
Smart Data Entry may use a guided Xecutify Browser workflow to collect visible information and write it into an Excel, CSV, or supported template file selected by the user. The attached file defines the output structure for the workflow.
- extracted data is written to the user-selected output file;
- Xecutify does not store attached file contents in its database;
- Xecutify servers do not receive the contents of the Xecutify Browser session;
- Xecutify does not store login credentials for Smart Data Entry workflows.
Xecutify does not store the contents of user-selected files, Xecutify Browser sessions, Smart Data Entry credentials, completed output files, workflow input/output data, or data entered into third-party websites or applications through Smart Data Entry.
Xecutify servers may process limited account-level usage metadata required to provide, license, meter, secure, and prevent abuse of Smart Data Entry, including account identifiers, subscription status, feature access status, timestamps, operation counters, Smart Token consumption, error categories, diagnostic status, and anti-abuse signals. Smart Token usage metadata does not include the user's extracted content, spreadsheet contents, browser session contents, workflow input/output data, credentials, or data entered into third-party websites or applications through Smart Data Entry.
This does not mean that Xecutify processes no data at all. Xecutify servers process account, authentication, subscription, licensing, support, anti-abuse, fraud-prevention, diagnostic, usage-metering, and security data required to operate the Services.
Users are responsible for ensuring that they have the legal right and any required authorization to access and process the information they extract. Users should review detected mappings and the completed output file before using, importing, sharing, or otherwise relying on it.
3.8 Points, Reward Tokens, Smart Tokens, Extra Steps, and Usage Balance Information
If you use Points, Reward Tokens, Smart Tokens, Extra Steps, the Points Store, rewards, conversions, or similar balances, Xecutify may process information such as Points balances, Reward Token balances, Smart Token balances, Extra Step balances, purchase history, conversion history, redemption history, reward history, usage counters, feature consumption records, Smart Data Entry Smart Token consumption records, Points Store activity, promotional rewards, and anti-abuse or fraud-prevention signals related to virtual balances.
This information is used to calculate, display, deduct, audit, correct, and protect balances and usage allowances. It does not include the contents of Smart Data Entry extracted data, spreadsheet contents, browser session contents, workflow input/output data, or third-party credentials unless the user intentionally submits such information through support, contact forms, or other communications.
4. How We Use Information
Xecutify may use collected information for the following purposes:
- to create and manage user accounts;
- to provide, operate, and maintain the Services;
- to authenticate users and protect account access;
- to process subscriptions, renewals, cancellations, and billing-related actions;
- to manage Points, Reward Tokens, Smart Tokens, Extra Steps, and related usage balances;
- to process Reward Token conversions and Points Store purchases or redemptions;
- to meter Smart Data Entry usage and Smart Token consumption;
- to provide support and respond to tickets or account issues;
- to validate referral program eligibility and rewards;
- to administer events, promotions, giveaways, affiliate-related submissions, and similar campaigns;
- to detect, investigate, prevent, and address abuse, fraud, duplicate accounts, evasion attempts, chargebacks, virtual balance manipulation, reward abuse, and unauthorized activity;
- to enforce the Terms and Conditions and other applicable rules;

- device-related identifiers, including irreversible cryptographic hashes of hardware components, device fingerprints, or hashed hardware IDs used for licensing, anti-abuse, and fraud-prevention purposes;

This information may be used to detect duplicate accounts, policy evasion, abuse of Free plan limitations, suspicious referral activity, suspicious promotion participation, fraud, and other conduct that threatens the integrity or security of the Services.
Xecutify may use security, usage, licensing, virtual balance, and anti-abuse signals to assist with fraud prevention, licensing enforcement, account integrity, reward abuse prevention, and abuse review. Where significant account restrictions are applied, Xecutify may review relevant account and security context.
7. Disclosure of Information
Xecutify does not sell user email addresses or personal data to third parties.
However, Xecutify may disclose limited information in the following circumstances.
7.1 Service Providers
Xecutify may share information with third-party providers where reasonably necessary to operate the Services, such as providers involved in:
- hosting or infrastructure;

- support systems;

Such disclosures are limited to what is reasonably necessary for the relevant service.

8. Data Retention

- subscription management;

Account and subscription records are retained while the account remains active and for up to 3 years after closure where necessary for legal defense, fraud prevention, abuse investigation, and dispute handling.
Billing and invoice-related records may be retained for the period required under applicable tax and accounting laws.
Hashed device fingerprints used for licensing and anti-abuse controls may be retained during the subscription period and for up to 12 months after subscription expiration or account closure, unless longer retention is necessary for fraud investigation, chargeback defense, abuse prevention, or legal compliance.
Support tickets may be retained for up to 3 years after resolution unless earlier deletion is appropriate or longer retention is required for legal, security, or dispute-related reasons.
Points, Reward Tokens, Smart Tokens, Extra Steps, conversion records, redemption records, and usage balance records may be retained while the account remains active and for a reasonable period after account closure where necessary for account administration, billing correction, fraud prevention, abuse investigation, dispute handling, legal defense, or compliance.

Xecutify uses reasonable technical and organizational measures designed to protect personal data and account-related information against unauthorized access, misuse, alteration, disclosure, or destruction.
Such measures may include:
- restricted administrative access;
- layered internal access controls;
- password-protected administrative systems;
- encryption or equivalent protective measures where appropriate;
- security monitoring and logging.
However, no method of storage, transmission, or security control can guarantee absolute security, and Xecutify cannot warrant that personal data will always remain completely secure.

Where personal data is transferred outside the European Economic Area, Xecutify relies on appropriate safeguards where required, such as European Commission adequacy decisions, Standard Contractual Clauses, or other lawful transfer mechanisms under applicable data protection law.

The Services are not intended for children, and Xecutify does not knowingly collect personal data from children in violation of applicable law.
